1. Introduction
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pay Safer LLC ("Pay Safer," "Company," "we," "us," or "our") governing your access to and use of the Pay Safer platform and services (the "Services").
Pay Safer provides an escrow-style payment facilitation system designed to hold funds securely on behalf of transacting parties and release such funds upon fulfillment of agreed conditions or administrative determination.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. Nature of the Service
Pay Safer is not a bank, financial institution, money transmitter, or fiduciary. The Company does not take ownership of funds and does not provide custody services directly.
All payments, fund holding, and transfers are executed through regulated third-party payment processors and financial infrastructure providers.
Pay Safer acts solely as a neutral intermediary facilitating conditional payment releases between parties.
3. Eligibility
To use the Services, you must:
• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Not be located in a jurisdiction where the Services are restricted or prohibited
• Provide accurate and complete information during registration and use
Pay Safer reserves the right to deny or terminate access to any user at its sole discretion.
4. Account Registration and Security
Users are required to create an account to access certain features of the Services.
You agree to:
• Provide accurate, current, and complete information
• Maintain the confidentiality of your login credentials
• Be fully responsible for all activities conducted under your account
Pay Safer is not liable for any loss resulting from unauthorized account access due to user negligence.
5. Escrow Transactions
5.1 Transaction Structure
The platform enables users to create transactions in which:
• A buyer deposits funds into the system
• Funds are held until predefined conditions are met
• Funds are released upon confirmation or administrative resolution
5.2 User Responsibility
Users are solely responsible for:
• Defining clear transaction terms
• Verifying counterparties
• Ensuring lawful use of the platform
Pay Safer does not guarantee the quality, legality, or delivery of any goods or services exchanged.
5.3 Finality of Transactions
Once funds are released, transactions are considered final and irreversible unless otherwise required by law.
6. Fees
Pay Safer may charge fees for use of the Services. Applicable fees will be disclosed prior to transaction confirmation.
Users agree to pay all applicable fees, including those imposed by third-party payment processors.
7. Prohibited Activities
Users agree not to use the Services for:
• Illegal, fraudulent, or deceptive activities
• Money laundering or terrorist financing
• Transactions involving prohibited goods or services
• Circumventing financial regulations
• Unauthorized access to systems or data
• Abuse, harassment, or manipulation of other users
Pay Safer reserves the right to investigate and take appropriate action, including account suspension or termination.
8. Compliance and Verification
Pay Safer may require identity verification and compliance checks, including KYC and AML procedures.
You agree to:
• Provide requested documentation promptly
• Cooperate with compliance reviews
• Accept potential delays or restrictions pending verification
Failure to comply may result in account suspension or transaction cancellation.
9. Dispute Resolution
9.1 Internal Resolution
In the event of a dispute between users, Pay Safer may, at its sole discretion:
• Review submitted evidence
• Request additional documentation
• Issue a binding determination regarding fund release
9.2 Limitation of Role
Pay Safer does not act as a court of law and does not provide legal judgments. Decisions are made based on available information and platform policies.
9.3 Final Decision
Administrative decisions made by Pay Safer regarding disputes are final within the platform.
10. Third-Party Services
The Services rely on third-party providers, including payment processors and identity verification services.
Pay Safer is not responsible for:
• Failures or delays caused by third-party providers
• Errors in payment processing
• Service interruptions outside its control
Use of third-party services may be subject to additional terms.
11. Intellectual Property
All content, technology, and systems associated with Pay Safer are the exclusive property of the Company.
Users are granted a limited, non-exclusive, non-transferable license to use the platform solely for its intended purpose.
Unauthorized use, reproduction, or distribution is strictly prohibited.
12. Data Privacy
Use of the Services is also governed by our Privacy Policy.
By using the platform, you consent to the collection and processing of personal data as described therein.
13. Suspension and Termination
Pay Safer reserves the right to suspend, restrict, or terminate accounts at any time, with or without notice, including if:
• These Terms are violated
• Suspicious or illegal activity is detected
• Required verification is not completed
Funds may be held during investigations as required by law or compliance obligations.
14. Limitation of Liability
To the maximum extent permitted by law, Pay Safer shall not be liable for:
• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Disputes between users
• Delays or failures caused by third parties
• Unauthorized access due to user negligence
Total liability, if any, shall not exceed the amount of fees paid to Pay Safer for the specific transaction.
15. Indemnification
You agree to indemnify and hold harmless Pay Safer, its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from:
• Your use of the Services
• Violation of these Terms
• Breach of applicable laws or regulations
• Disputes with other users
16. Force Majeure
Pay Safer shall not be liable for failure or delay in performance due to events beyond its reasonable control, including:
• Natural disasters
• Cyberattacks
• Government actions
• Infrastructure failures
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Montana, United States, without regard to conflict of law principles.
Any disputes arising under these Terms shall be resolved exclusively in the competent courts of the State of Montana.
18. Modifications
Pay Safer reserves the right to modify these Terms at any time.
Updated Terms will be posted on the platform. Continued use of the Services constitutes acceptance of the revised Terms.
19. Entire Agreement
These Terms constitute the entire agreement between the User and Pay Safer regarding the use of the Services and supersede any prior agreements or understandings.
